Terms and Conditions
These General Terms and Conditions (“Terms”) govern the use of services provided by ‘Elite Concept Information Technology L.L.C.’, a United Arab Emirates registered company (“Company” or “We”). By engaging with our IT solutions, you agree to comply with and be bound by these Terms. Please read them carefully.
1. Service Agreement: 1.1 The client agrees to engage the Company for IT solutions as outlined in the agreed-upon proposal or contract.
2. Payment Terms: 2.1 Invoices: Invoices will be issued as per the agreed payment schedule. 2.2 Late Payments: A late fee may be applied to overdue payments. 2.3 Taxes: The client is responsible for all applicable taxes related to the services.
3. Confidentiality: 3.1 Both parties agree to keep confidential information, including but not limited to trade secrets, client data, and proprietary information, confidential.
4. Intellectual Property: 4.1 The Company retains ownership of all intellectual property developed during the engagement. 4.2 The client is granted a non-exclusive license to use deliverables solely for their internal business purposes.
5. Termination: 5.1 Either party may terminate the agreement with written notice if the other party breaches a material term. 5.2 Upon termination, the client shall pay for all services rendered up to the termination date.
6. Warranties: 6.1 The Company warrants that services will be performed in a professional and workmanlike manner. 6.2 No other warranties, express or implied, are provided, and the Company disclaims any implied warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability: 7.1 The Company’s liability for any claims arising out of or relating to the services shall be limited to the total fees paid by the client under the engagement.
8. Force Majeure: 8.1 The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
9. Governing Law: 9.1 These Terms shall be governed by and construed in accordance with the laws of [Your Country].
10. Dispute Resolution: 10.1 Any disputes arising out of or in connection with these Terms shall be resolved through arbitration in accordance with the rules of [Arbitration Association] or through mediation.
11. Amendments: 11.1 These Terms may be amended only in writing and signed by both parties.
